Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the FormGuard platform ("Service"), operated by a Romanian PFA (Persoana Fizica Autorizata) registered in Romania ("we", "us", or "FormGuard"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Service Description

FormGuard is an online form builder designed for GDPR compliance. The Service allows you to create forms, collect submissions, manage responses, and export data. All data is processed and stored exclusively on EU infrastructure located in Frankfurt, Germany. The Service is provided as a Software-as-a-Service (SaaS) platform accessible via web browsers.

3. Account Registration and Responsibilities

To use the Service, you must create an account by providing a valid email address and a password. You agree to:

  • Provide accurate and complete registration information.
  • Maintain the security and confidentiality of your account credentials.
  • Notify us immediately of any unauthorised access to your account.
  • Accept responsibility for all activities that occur under your account.

You must be at least 18 years of age or the age of legal majority in your jurisdiction to create an account. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

4. Pricing and Billing

FormGuard offers a free tier and paid subscription plans. Details of current pricing are available on our website.

  • Paid subscriptions are billed monthly in advance. All prices are stated in Euros and are inclusive of applicable VAT where required.
  • Payment is processed securely through Stripe (Stripe Payments Europe, Ltd., Ireland). We do not store your payment card details.
  • You may upgrade, downgrade, or cancel your subscription at any time. Downgrades and cancellations take effect at the end of the current billing period.
  • We reserve the right to change our pricing with at least 30 days' prior notice. Price changes will not affect your current billing period.
  • Refunds are handled on a case-by-case basis. If you are unsatisfied with the Service within the first 14 days of a paid subscription, you may request a full refund.

5. Data Ownership

You retain full ownership of all data you create, upload, or collect through the Service, including form structures, configurations, and submission data. We do not claim any intellectual property rights over your content. We will not access, use, or share your data except as necessary to provide the Service, comply with applicable law, or as otherwise described in our Privacy Policy. Upon termination of your account, you may export your data before deletion. After account deletion, all your data will be permanently removed within 30 days.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation, including GDPR and other data protection laws.
  • Collect personal data without a valid legal basis or appropriate consent from data subjects.
  • Distribute malware, spam, or any harmful content.
  • Attempt to gain unauthorised access to our systems or other users' accounts.
  • Use the Service for phishing, fraud, or deceptive practices.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Resell or redistribute the Service without our prior written consent.

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice, depending on the severity of the violation.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance. We shall not be liable for any loss or damage arising from Service interruptions.

8. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is the intellectual property of FormGuard and is protected by applicable intellectual property laws. Your use of the Service does not grant you any ownership rights in the Service itself. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms.

9. Limitation of Liability

To the maximum extent permitted by applicable law, FormGuard and its operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service, regardless of the theory of liability.

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim. This limitation does not apply to liability that cannot be excluded or limited under applicable EU or Romanian law.

10. Indemnification

You agree to indemnify and hold harmless FormGuard from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including data subjects whose personal data you collect through your forms.

11. Termination

Either party may terminate this agreement at any time:

  • By you: You may delete your account at any time from your dashboard settings. Upon deletion, your data will be permanently removed within 30 days.
  • By us: We may suspend or terminate your account if you breach these Terms, engage in prohibited conduct, or if we are required to do so by law. Where possible, we will provide reasonable notice before termination.

Upon termination, your right to use the Service ceases immediately. Sections relating to data ownership, limitation of liability, indemnification, and governing law shall survive termination.

12. Modifications to Terms

We may modify these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of Romania. Nothing in these Terms shall affect your rights as a consumer under mandatory EU consumer protection legislation.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
